Introduction

Welcome to Pawmp. These Terms of Service ("Terms") govern your access to and use of the Pawmp website, mobile application, and related services (collectively, the "Pawmp Platform").

Pawmp is operated by Pawmp, Inc. ("Pawmp," "we," "us," or "our").

By creating an account, accessing the Pawmp Platform, or using our services, you agree to these Terms. If you do not agree to these Terms, you may not use the Pawmp Platform.

1. What Pawmp Does

Pawmp is a technology marketplace that connects pet owners seeking grooming services ("Pet Owners") with independent pet groomers and grooming businesses offering those services ("Groomers").

Pawmp provides tools that may allow users to discover Groomers, view services and availability, communicate, book appointments, make or receive payments, leave reviews, and manage grooming services.

Pawmp does not itself provide pet grooming services. Unless expressly stated otherwise, Groomers listed on Pawmp are independent service providers and are not employees, agents, franchisees, joint venturers, or representatives of Pawmp. When a Pet Owner books a grooming service through Pawmp, the grooming service is provided by the Groomer, not Pawmp.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to create a Pawmp account or use the Pawmp Platform. By using Pawmp, you represent that the information you provide is accurate, current, and complete.

3. User Accounts

You may be required to create an account to use certain features of Pawmp.

  • maintaining the confidentiality and security of your account credentials;
  • providing accurate account information;
  • keeping your information up to date; and
  • activities conducted through your account.

You may not impersonate another person, create an account using false information, or allow another person to misuse your account. You must notify Pawmp promptly if you believe your account has been compromised.

4. Groomers

Pawmp may allow both individual independent Groomers and grooming businesses to offer services through the Pawmp Platform. Groomers are responsible for determining their availability, the services they offer, and their prices.

Groomers are responsible for performing their services professionally, safely, and in accordance with applicable laws. Nothing in these Terms creates an employment relationship between Pawmp and a Groomer. Groomers are responsible for obtaining and maintaining any licenses, registrations, permits, certifications, insurance, or other requirements applicable to their services or businesses.

5. Groomer Verification

Pawmp may collect and review information relating to a Groomer's identity and professional credentials where applicable. Verification processes may vary depending on location, available information, and the type of services offered.

A Groomer's presence on the Pawmp Platform, completion of a verification process, or display of credentials does not constitute a guarantee, endorsement, certification, or warranty by Pawmp regarding that Groomer's competence, safety, quality, reliability, licensing status, or conduct. Pet Owners remain responsible for determining whether a particular Groomer is appropriate for their pet.

6. Grooming Services and Bookings

Groomers may list grooming services, prices, availability, service descriptions, and other relevant information through Pawmp. Pet Owners are responsible for reviewing the details of a service before booking.

A booking creates a service relationship between the Pet Owner and the Groomer. Pawmp provides the technology that facilitates that transaction but is not the provider of the underlying grooming service.

Groomers may decline booking requests or stop a grooming service when reasonably necessary because of animal welfare, human safety, inaccurate information provided by the Pet Owner, or other legitimate circumstances.

7. Information About Your Pet

Pet Owners are responsible for providing accurate and reasonably complete information necessary for a Groomer to safely provide services.

  • the pet's age, breed, size, and temperament;
  • known aggression or biting history;
  • behavioral concerns;
  • medical conditions;
  • allergies or sensitivities;
  • medications;
  • injuries or physical limitations;
  • vaccination information where required; and
  • other health or safety information relevant to grooming.

Pet Owners must not knowingly conceal information that could reasonably affect the safety of the pet, Groomer, another person, or another animal.

8. Pet Safety and Emergencies

Groomers are expected to use reasonable care when providing grooming services. If a pet experiences an apparent medical emergency while in a Groomer's care and the Pet Owner cannot reasonably be reached, the Groomer may take reasonable steps necessary to protect the animal's health or safety, including seeking emergency veterinary care.

Unless otherwise required by applicable law or resulting from the Groomer's negligence or misconduct, the Pet Owner is generally responsible for veterinary and other expenses incurred on behalf of their pet. Nothing in these Terms limits liability that cannot legally be limited under applicable law.

9. Prices and Pawmp Fees

Groomers generally establish the prices for the grooming services they offer through Pawmp. Pawmp may charge Groomers commissions or other platform fees and may charge Pet Owners booking, service, processing, or other fees.

Applicable prices and fees will be disclosed to the relevant user before the applicable transaction is completed. Pawmp may change its fee structure from time to time. Changes will apply prospectively and will not alter charges for previously completed transactions unless otherwise disclosed or required by law.

10. Payments and Groomer Payouts

Payments made through Pawmp may be processed by one or more third-party payment processors. By making or receiving payments through Pawmp, you agree to provide accurate payment information and comply with any applicable terms imposed by the payment processor.

Pet Owners may be charged when a booking is made or as otherwise disclosed during checkout. After a qualifying service is completed, payment may be released to the Groomer, less applicable Pawmp fees, payment-processing fees, refunds, adjustments, taxes, or other amounts authorized under these Terms or applicable policies.

Pawmp does not independently store complete payment-card information when such information is handled directly by a third-party payment processor.

11. Cancellations and Refunds

Groomers may establish cancellation policies for their services. Applicable cancellation terms must be disclosed to Pet Owners before booking. By completing a booking, the Pet Owner agrees to the cancellation policy disclosed for that booking.

If a Groomer cancels an appointment, the Pet Owner will generally receive a full refund for the affected booking, including applicable Pawmp booking or service fees.

Pawmp may issue refunds, credits, adjustments, or other remedies when required by law, these Terms, an applicable policy, or circumstances Pawmp reasonably determines warrant such action. Repeated or abusive cancellations may result in restrictions on an account.

12. No-Shows

Pet Owners and Groomers are expected to honor confirmed appointments. Fees associated with a Pet Owner's failure to attend an appointment may be governed by the Groomer's cancellation or no-show policy disclosed before booking. Repeated no-shows by either Pet Owners or Groomers may result in account restrictions, suspension, or termination.

13. Keeping Transactions on Pawmp

Pawmp invests resources in helping Pet Owners and Groomers discover and connect with one another. Users may not intentionally use the Pawmp Platform to identify or connect with another user and then circumvent Pawmp's booking or payment systems for the purpose of avoiding applicable Pawmp fees. Pawmp may restrict, suspend, or terminate accounts where it reasonably determines that users are deliberately circumventing the platform.

14. Reviews and Ratings

Pet Owners may be able to leave ratings, reviews, photographs, or other feedback relating to completed services. Reviews should reflect genuine experiences and must not contain content that is fraudulent, manipulated, threatening, harassing, discriminatory, unlawfully defamatory, or otherwise prohibited by these Terms.

Groomers may not offer improper incentives in exchange for misleading reviews or manipulate Pawmp's review system. Pawmp may remove or restrict content that violates these Terms or applicable law.

15. User Content

Users may upload or provide photographs, reviews, profile information, service descriptions, messages, and other content ("User Content"). You retain ownership of your User Content.

By providing User Content to Pawmp, you grant Pawmp a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, and otherwise use that content as reasonably necessary to operate, maintain, improve, protect, and promote the Pawmp Platform.

This license does not give Pawmp unrestricted permission to use private booking-related content, such as a Pet Owner's pet photographs, in unrelated advertising campaigns. Additional permission may be requested where appropriate for such uses. You represent that you have the necessary rights to provide any User Content you submit to Pawmp.

16. Communications

Pawmp may provide communication tools that allow Pet Owners and Groomers to communicate regarding bookings and services. Pawmp may use automated systems and, where appropriate, review communications conducted through the Pawmp Platform for purposes such as customer support, fraud prevention, safety, dispute resolution, and enforcement of these Terms, subject to our Privacy Policy and applicable law.

Users may not use Pawmp communications to harass, threaten, defraud, spam, discriminate against, or otherwise harm another person.

17. Disputes Between Pet Owners and Groomers

Pet Owners and Groomers are encouraged to communicate directly and in good faith when concerns arise regarding a grooming service.

Pawmp may, at its discretion, help facilitate communication, review transaction information, or administer refunds, credits, or other remedies under applicable Pawmp policies. However, Pawmp is not a party to the underlying grooming service and does not become responsible for resolving every dispute between a Pet Owner and Groomer. Nothing in this section limits any rights a user may have under applicable law.

18. Chargebacks and Payment Disputes

Users may not misuse chargebacks, payment disputes, or other payment-reversal mechanisms. If a payment is disputed, Pawmp and its payment providers may investigate the transaction and provide relevant transaction records to financial institutions or payment networks as permitted by law.

Pawmp may restrict or suspend accounts associated with fraudulent or abusive payment disputes. Nothing in this section prevents a user from exercising legitimate rights to dispute unauthorized or otherwise legally disputable charges.

19. Taxes

Groomers are generally responsible for determining and satisfying their own tax obligations arising from services provided through Pawmp. Pawmp may collect, report, withhold, or remit taxes when required by applicable law. Groomers are responsible for providing accurate information reasonably requested by Pawmp or its payment providers for tax reporting and compliance purposes.

20. Insurance

Groomers are responsible for maintaining insurance where required by applicable law. Unless Pawmp expressly states otherwise in a separate written program or policy, Pawmp does not provide insurance coverage for grooming services offered by independent Groomers.

21. No Pawmp Guarantee

Unless Pawmp expressly introduces a separate written guarantee or protection program, bookings made through Pawmp are not covered by a Pawmp guarantee, veterinary reimbursement program, or similar insurance-like protection program. Any future protection program will be governed by its own eligibility requirements, exclusions, limits, and terms.

22. Prohibited Conduct

  • engage in fraud or deceptive activity;
  • provide false identity or credential information;
  • mistreat, abuse, neglect, or intentionally endanger an animal;
  • threaten, harass, stalk, or discriminate against another person;
  • manipulate ratings or reviews;
  • intentionally circumvent Pawmp's payment system in violation of these Terms;
  • access another user's account without authorization;
  • interfere with the security or operation of Pawmp;
  • introduce malware or malicious code;
  • scrape or systematically extract Pawmp data without authorization;
  • use Pawmp for unlawful purposes; or
  • encourage another person to violate these Terms.

23. Suspension and Termination

Pawmp may investigate suspected violations of these Terms. We may restrict, suspend, or terminate an account when reasonably necessary to protect users, pets, Pawmp, or third parties, including in connection with suspected fraud, unsafe behavior, animal mistreatment, harassment, false credentials, payment abuse, repeated cancellations, review manipulation, or serious or repeated violations of these Terms.

Where circumstances permit, Pawmp may provide notice or an opportunity to address the issue. Pawmp may take immediate action when reasonably necessary for safety, fraud prevention, legal compliance, or protection of the platform.

Users may stop using Pawmp and request account closure subject to outstanding transactions, disputes, legal obligations, and applicable retention requirements.

24. Intellectual Property

Except for User Content and third-party materials, the Pawmp Platform, including its software, branding, logos, designs, interfaces, text, graphics, and other materials, is owned by or licensed to Pawmp and protected by applicable intellectual property laws. These Terms do not grant users ownership of Pawmp's intellectual property. "Pawmp" and associated branding may not be used without authorization except as permitted by applicable law.

25. Third-Party Services

Pawmp may rely on third-party services, including payment processors, identity-verification providers, analytics providers, mapping services, communications providers, and hosting services. Those services may be governed by separate terms and privacy policies. Pawmp is not responsible for third-party services to the extent permitted by applicable law.

26. Disclaimer of Warranties

To the extent permitted by law, the Pawmp Platform is provided on an "as is" and "as available" basis. Pawmp does not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

Because Groomers are independent service providers, Pawmp does not guarantee the quality, safety, suitability, legality, availability, or outcome of any particular grooming service. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Pawmp and its officers, directors, employees, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the Pawmp Platform.

Because Pawmp is a marketplace rather than the provider of grooming services, Pawmp is not responsible for acts or omissions of independent Groomers or Pet Owners except to the extent responsibility is imposed on Pawmp by applicable law.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded.

28. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Pawmp and its affiliates, officers, directors, employees, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from your material violation of these Terms, your unlawful conduct, or services you provide through Pawmp.

This provision does not require you to indemnify Pawmp for Pawmp's own negligence, misconduct, or other liability that cannot legally be shifted to you.

29. Privacy

Pawmp's collection and use of personal information are described in the Pawmp Privacy Policy. The Privacy Policy should be reviewed together with these Terms.

30. Changes to These Terms

Pawmp may update these Terms as the Platform, business, or applicable laws change. When changes are material, Pawmp will provide reasonable notice as required by applicable law. The updated Terms will identify their effective date.

Continued use of Pawmp after updated Terms become effective constitutes acceptance of those Terms where permitted by law. Where applicable law requires affirmative consent to a change, Pawmp will request it.

31. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except where applicable law requires otherwise.

32. Resolving Disputes With Pawmp

Before initiating formal legal proceedings against Pawmp, you and Pawmp agree to make a reasonable, good-faith effort to resolve the dispute informally.

A user may initiate this process by contacting Pawmp through the contact method identified in Section 34 and providing sufficient information for Pawmp to understand the dispute. If the dispute cannot be resolved informally, either party may pursue available remedies in a court of competent jurisdiction, subject to applicable law. These Terms do not currently require mandatory arbitration.

33. General Terms

If any provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions will continue in effect to the extent permitted by law. Pawmp's failure to enforce a provision of these Terms does not waive its right to enforce that provision later.

You may not transfer your rights or obligations under these Terms without Pawmp's consent where such consent may lawfully be required. Pawmp may transfer these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or similar transaction, subject to applicable law.

These Terms, together with policies expressly incorporated into them, constitute the agreement between you and Pawmp regarding your use of the Pawmp Platform.
